Terms and Conditions

Please read these Terms and Conditions (“Terms”) carefully before subscribing to or using the RUN-Ecommerce platform, operated by Growth Catalyst Pvt. Ltd. (“Company”, “we”, “our”, or “us”).

1. Acceptance of Terms

By registering for an account, subscribing to a plan, or accessing the RUN-Ecommerce platform, you enter into a legally binding contract with Growth Catalyst Pvt. Ltd. If you are registering on behalf of a company, firm, or legal entity, you represent that you possess the full legal authority to bind that entity to these Terms.

If you do not agree with any part of these Terms, you must not access or use our software.

2. Account Registration & Eligibility

To use our services, you must:

  • Be at least 18 years of age and capable of entering into legally enforceable contracts under Nepalese law.
  • Provide accurate, truthful, and complete business information, including valid contact details.
  • Maintain the confidentiality of your account credentials and immediately notify us of any unauthorized account access.
  • Ensure your business adheres to all relevant statutory registration requirements in Nepal (including PAN/VAT registration where applicable).

3. SaaS Platform License & Storefronts

Subject to your ongoing compliance with these Terms and payment of applicable plan fees, Growth Catalyst Pvt. Ltd. grants you a non-exclusive, non-transferable, revocable license to access and use RUN-Ecommerce to operate an independent online retail store.

You may not sublicense, reverse-engineer, decompile, copy, or redistribute the underlying platform source code, architecture, or proprietary assets.

4. Acceptable Use & Strictly Prohibited Goods

🚫 Zero-Tolerance Prohibited Items Policy:

Merchants are strictly forbidden from listing, marketing, or selling any products or services that violate the National Penal Code, 2074, the Electronic Transactions Act, 2063, or any prevailing laws of Nepal.

Prohibited categories include, without limitation:

  • Narcotics, controlled prescription pharmaceuticals, and unapproved health supplements.
  • Counterfeit goods, unauthorized replicas, or copyright-infringing merchandise.
  • Firearms, weapons, ammunition, fireworks, or hazardous explosives.
  • Illegal lotteries, online gambling, betting schemes, or pyramid/MLM arrangements.
  • Sexually explicit materials, adult content, or hate speech merchandise.
  • Stolen property or items obtained through unlawful means.

We reserve the absolute right to immediately suspend or permanently delete any merchant store found violating this section without prior notice or refund.

5. Subscription Plans, Fees & Billing

Subscription plan fees are stated in Nepalese Rupees (NPR) and billed in advance on a recurring monthly or annual basis.

  • Payment Methods: Subscription invoices can be paid via integrated Nepali payment gateways (eSewa, Khalti, Fonepay), bank transfer, or debit/credit card.
  • Grace Period & Overdue Accounts: If a recurring subscription payment fails, a 7-day grace period is provided. If payment is not completed after the grace period, store management access and storefront visibility may be temporarily restricted until the balance is settled.
  • Refund Policy: All subscription fees paid for active cycles are non-refundable. If you cancel your subscription, your store remains active until the end of the current paid billing cycle.

6. Merchant Responsibilities & Taxes

Merchants are the independent “Sellers of Record” for all goods sold through their storefronts:

  • Customer Contracts: The contract of sale for products sold on your store is strictly between you and your customer. RUN-Ecommerce is not a party to consumer purchases.
  • Fulfillment & Quality: You are solely responsible for manufacturing, inventory storage, packaging, quality control, dispatch, and delivery of customer orders.
  • Tax Compliance: You are solely responsible for determining, collecting, reporting, and remitting all applicable taxes (including PAN/VAT and customs duties) to the Inland Revenue Department (IRD) of Nepal.
  • Returns & Warranties: You must establish and clearly display your own return, exchange, and refund policies for your customers.

7. Payment Gateways & Processing

Merchants can enable customer checkouts via licensed Nepal payment providers (eSewa, Khalti, Fonepay).

RUN-Ecommerce acts solely as a technical software gateway connecting your storefront to these providers. Payouts, transaction fees, merchant verification, and funds settlement are governed by the merchant's agreement with the respective payment service provider.

8. Courier & Shipping Integrations

The platform offers direct API integrations with leading Nepali delivery companies (e.g., NCM, Pathao Parcel, Pick & Drop, Upaya, Dash Logistics).

While RUN-Ecommerce facilitates automated dispatch and tracking number generation, package handling, transit times, damaged parcels, and Cash-on-Delivery (COD) reconciliation are governed by your direct contract with the courier provider.

9. Intellectual Property Rights

Platform IP: All code, databases, design systems, algorithms, documentation, and trademarks associated with RUN-Ecommerce remain the exclusive property of Growth Catalyst Pvt. Ltd.

Merchant IP: You retain complete ownership of all trademarks, brand names, product photographs, videos, descriptions, and customer databases you upload to your store.

10. Service Availability & Maintenance

We strive to maintain an operational availability target of 99.9% Uptime. From time to time, scheduled maintenance, security patching, or emergency upgrades may occur. Where possible, scheduled maintenance will be conducted during off-peak hours with advance notice.

11. Account Suspension & Termination

We may suspend or terminate your store access immediately if:

  • You breach any material provision of these Terms or our Acceptable Use Policy.
  • Your store generates excessive fraud alerts, chargebacks, or unresolved customer complaints.
  • You fail to satisfy overdue subscription balances.
  • Required by court order, regulator, or law enforcement agency in Nepal.

12. Limitation of Liability

To the maximum extent permitted by Nepalese law, Growth Catalyst Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, goodwill, or business interruption.

In no event shall our total aggregate liability arising out of or related to your use of the platform exceed the total subscription fees paid by you to RUN-Ecommerce in the twelve (12) months preceding the incident.

13. Governing Law & Dispute Resolution

These Terms shall be governed by, construed, and enforced in accordance with the laws of Nepal, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved amicably through good-faith negotiation. If an amicable settlement is not reached within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Lalitpur or Kathmandu, Nepal.
